These General Terms and Conditions govern the relationship between you, as the client, and us, as the provider of emigration and consulting services.
§1 Scope
These AGB apply to all services that APM Performance Ltd. (hereinafter “Solmira” or “we”) provides to clients (hereinafter “you” or “the client”), in particular advice on emigration to Cyprus, assistance with company formation, coordination of regulatory registrations, and ongoing accounting services.
Any deviating or supplementary terms and conditions shall only become part of the contract if we expressly agree to them in writing.
§2 Conclusion of the Contract
A contract is concluded when you expressly accept an offer from us (e.g., via email, signature, or digital confirmation). The free initial consultation does not constitute a paid engagement.
§3 Scope of Services
The specific scope of services is set forth in the respective order confirmation document or the selected service (complete package, individual service, or flat-rate accounting fee).

We coordinate and provide support; the actual tax and legal advice is provided by our network of partners consisting of Cypriot-licensed tax advisors and attorneys. The engagement of these professionals takes place directly between you and the respective advisor.
§4 Client’s Obligations to Cooperate
You shall provide us with all information and documents necessary for the provision of services in a complete and truthful manner. Any delays or additional expenses resulting from incomplete or inaccurate information shall be borne by you.
§5 Fees and Payment Terms
Remuneration is based on the agreed-upon fixed price. All prices are net amounts plus any applicable statutory sales tax.
For one-time services, 50% of the fixed price is due as a down payment upon placement of the order; the remaining amount is due upon completion of the service. Flat-rate accounting fees are billed quarterly. Invoices are due for payment within 14 days without deduction.
§6 Termination and Cancellation
You may terminate the contract at any time for good cause. In the event of ordinary termination, the right to compensation for services already rendered or firmly scheduled remains in effect.
Right of withdrawal for consumers: If you are a consumer within the meaning of §13 of the German Civil Code (BGB), you have a 14-day right of withdrawal without giving a reason when entering into a contract online. The right of withdrawal expires upon commencement of service provision before the expiration of the withdrawal period, provided you have expressly consented to this.
§7 Liability
We are liable for damages, regardless of the legal basis, only to the extent that we are found to have acted with intent or gross negligence. In the event of a breach of material contractual obligations, we are also liable for simple negligence, but limited to the foreseeable damages typical for this type of contract.
This limitation of liability does not apply in cases of injury to life, limb, or health, or in cases of mandatory statutory liability (e.g., the Product Liability Act).
§8 Confidentiality
Both parties agree to keep all confidential information obtained in the course of the collaboration confidential, even after the contract has ended.
§9 Governing Law and Jurisdiction
The laws of the Republic of Cyprus shall apply, excluding the UN Convention on Contracts for the International Sale of Goods. If the client is a consumer within the meaning of the EU Consumer Directives, mandatory consumer protection provisions of the consumer’s country of residence shall remain unaffected.
The exclusive venue for merchants is Limassol, Cyprus.
§10 Severability Clause
Should any provision of this AGB be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a provision that most closely approximates the economic purpose of the invalid provision.
